For professional services engagements, agreed scope, fees, and timelines will be documented in writing before work commences. Novathread reserves the right to decline engagements at its discretion.

Service fees are quoted in Hong Kong Dollars (HKD) and set out in the applicable service agreement or proposal. Fees are payable in accordance with the payment schedule agreed in that document. Novathread reserves the right to adjust fees for future engagements with reasonable notice.

Invoices unpaid within the agreed period may attract interest at a rate consistent with applicable commercial practices in Hong Kong. Scope changes may affect the agreed fee, and any adjustments will be agreed in writing before additional work commences.

8. Service-Specific Terms

AI System Development (Fraud Detection, Document Similarity)

Custom AI system development is governed by a specific statement of work. Delivery timelines are estimates and may be subject to variation due to data quality, infrastructure constraints, or factors outside Novathread's control. Client cooperation and access to necessary data and systems is a condition of delivery.

Procurement Advisory

Advisory recommendations reflect our independent assessment based on information provided by the client and publicly available at the time of engagement. We do not accept liability for decisions made based on advisory outputs. Novathread has no commercial relationships with vendors assessed under this service.

9. Confidentiality

Both parties to a service engagement agree to maintain the confidentiality of non-public information disclosed during the engagement. Specific confidentiality obligations are detailed in the applicable service agreement. General enquiries to our website are not treated as confidential disclosures unless covered by a signed confidentiality agreement.

Our website content is provided for informational purposes. While we take care to ensure accuracy, we do not warrant that information is complete, current, or error-free. AI system outputs should be reviewed by qualified personnel before operational use. To the extent permitted by Hong Kong law, Novathread's total liability for any claim arising from use of our website or services is limited to the fees paid by the client for the specific engagement from which the claim arises. We are not liable for indirect, consequential, special, or punitive damages.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded under applicable law.

You agree to indemnify Novathread against claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of our website or services.

Either party may terminate a service engagement in accordance with the terms set out in the applicable service agreement. Novathread may suspend or terminate access to its website for users who breach these Terms without notice.

These Terms are governed by the laws of Hong Kong Special Administrative Region. Both parties agree to the exclusive jurisdiction of the courts of Hong Kong SAR for the resolution of disputes.

In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If unresolved within 30 days, either party may pursue formal legal remedies.

15. General Provisions

These Terms represent the complete agreement between you and Novathread regarding use of our website and, together with any service agreement, constitute the complete agreement regarding services. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Failure to enforce any provision does not constitute a waiver of future enforcement rights.

We may update these Terms from time to time. Updated terms will be published on this page with a revised effective date. Continued use of our website or services following publication of changes constitutes acceptance of the revised terms.
